Agreement and Acceptance

This End User License Agreement (the "Agreement") is between Boomers Greens LLC ("Boomers Greens," "we," "us," or "our") and the person or legal entity that purchases, installs, activates, accesses, or uses Swingistry Golf (the "Customer," "you," or "your"). Swingistry Golf, its installer, updates, documentation, and related components are collectively the "Software."

By clicking to accept, completing a purchase that incorporates this Agreement, installing or activating the Software, or using the Software after having an opportunity to review this Agreement, you agree to be bound by it. If you accept for a company or other entity, you represent that you have authority to bind that entity. If you do not agree, do not install, activate, or use the Software.

Business-Use Scope

The Software is offered for legitimate business use by golf-event operators and related organizations. The Customer is the single business entity identified in the applicable order, receipt, or subscription record (the "Order"). Employees and contractors may operate the Software only for that Customer, on Authorized Computers, and within the Customer's ordinary business operations. Event guests may interact with Customer-operated kiosk, scoring, photo, or display features, but they do not receive a separate software license.

Affiliates, franchisees, clients, partner companies, and commonly owned entities are separate Customers unless the Order expressly states otherwise. The activation allowance is not a pool that may be divided among unrelated businesses.

License Grant

Subject to timely payment, a valid subscription and license key, and continuing compliance with this Agreement, Boomers Greens grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the Subscription Term to install and use the Software in object-code form on the number of Authorized Computers permitted by the purchased plan. The license is for the Customer's internal business operations and hosted events; it is not a sale of the Software or any intellectual-property rights.

"Authorized Computer" means a Windows computer owned, leased, or controlled by the Customer and used for the Customer's business. A separate Windows installation, virtual machine, or other machine instance may be treated as a separate computer by the licensing system.

The plan name and activation limit shown in the Order and Lemon Squeezy license record control if they differ from marketing copy. Custom or separately negotiated licensing applies only if confirmed in a written Order or agreement authorized by Boomers Greens.

Activation, Verification, and Offline Grace Period

·       A valid Swingistry Golf subscription and license key are required. Each successful activation consumes an activation slot until that computer is deactivated or the slot is reset.

·       Internet access is required for initial activation and periodic subscription and license verification. The licensing process may exchange license, subscription, device or installation identifier, product/variant, activation, network, and timestamp information with Lemon Squeezy and Boomers Greens as described in the Privacy Policy.

·       The Software includes the seven-day offline grace period documented in the Operator Manual for temporary Internet interruption. The grace period does not extend a cancelled, expired, unpaid, refunded, disabled, terminated, or otherwise invalid subscription or license.

·       After the offline grace period, or when a license cannot be validated, the Software may stop authorizing continued use until Internet connectivity and a valid license status are restored.

·       You may not block, falsify, replay, manipulate, or interfere with activation or verification traffic, identifiers, timestamps, or license status.

Computer Replacement and License Migration

You may move a valid license within the same Customer business by deactivating the old computer and then activating the replacement computer with the same authorized license key, subject to the plan's activation limit. Deactivation releases that activation slot; it does not transfer the subscription to another person or business.

If the old computer is unavailable, lost, damaged, or inoperable, contact support@boomersgreens.com. Boomers Greens may require proof of account ownership, purchase, business identity, and the affected computer or activation before resetting a slot. Reset assistance is provided on a reasonable, case-by-case basis and does not carry a guaranteed response time or emergency-service commitment unless a separate written support agreement says otherwise. Repeated, suspicious, or abusive reset requests may be refused.

License-Key and Account Security

The Customer must keep its license key, Lemon Squeezy access links, email account, and related credentials confidential and must limit them to personnel who need access for the Customer's business. The Customer is responsible for activity under its key and for promptly reporting suspected compromise. Boomers Greens may disable or replace a compromised key and may require reasonable verification before providing account or activation assistance.

Restrictions

Except to the limited extent applicable law does not permit a restriction, you may not:

·       copy, distribute, publish, sell, rent, lease, sublicense, lend, time-share, host for third parties, or otherwise commercially exploit the Software or license key except for operating the Customer's own hosted events;

·       share the Software, installer, license key, account access, activation slots, or subscription with another business or person outside the Customer's authorized workforce;

·       reverse engineer, decompile, disassemble, discover source code, modify, translate, create derivative works from, or bypass technical protections in the Software;

·       remove or alter copyright, trademark, license, attribution, or proprietary notices;

·       evade or exceed the purchased activation limit, impersonate another customer, or use a refunded, disabled, expired, or improperly obtained key;

·       use the Software to violate law, infringe rights, collect personal information without required notice or consent, upload unlawful or unauthorized photos or content, distribute malware, or interfere with systems or networks; or

·       use the Software, its output, or related services to build, benchmark for public distribution, or train a competing product without Boomers Greens' written permission.

Customer Data, Photos, and Event Responsibilities

As between the parties, the Customer retains its rights in registration records, scores, event information, guest photos, sponsor materials, and other content entered into or processed through the Software ("Customer Content"). The Customer grants Boomers Greens a limited right to process Customer Content only as reasonably necessary to provide, secure, support, or troubleshoot the Software, comply with law, or follow the Customer's support request. The Privacy Policy provides additional information.

The Customer determines what participant information and photos to collect and display and is responsible for lawful notices, permissions, releases, parental consent where applicable, data accuracy, event rules, retention, exports, backups, and deletion on Customer-controlled systems. The Customer must not submit content it lacks the right to use or display.

Ownership and Feedback

Boomers Greens and its licensors own the Software, documentation, design, code, workflows, trade names, trademarks, and all related intellectual-property rights. All rights not expressly granted are reserved. If you voluntarily provide ideas, suggestions, or feedback, you grant Boomers Greens a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without obligation, provided Boomers Greens does not publicly identify you as the source without permission.

Updates, Changes, and Third-Party Components

An active subscription includes access to updates that Boomers Greens elects to make generally available for the purchased plan. Boomers Greens does not promise any specific feature, update, release date, compatibility period, or roadmap item. Updates may modify or remove features where reasonably necessary for security, reliability, licensing, legal compliance, or product development.

The Software may interact with Windows, Lemon Squeezy, network equipment, browsers, email, or other third-party products. Their terms and privacy practices govern their services. Boomers Greens is not responsible for third-party products, outages, policy changes, or compatibility outside its reasonable control.

Support

Support requests may be submitted to support@boomersgreens.com. Boomers Greens will provide reasonable support for current, supported versions and valid subscriptions, but no guaranteed response time, resolution time, on-call coverage, or event-day emergency service applies unless stated in a separate written agreement. Support may require diagnostic information and reasonable cooperation from the Customer.

Term, Suspension, and Termination

This Agreement begins when accepted and continues while the Customer possesses or uses the Software. The licensed use right exists only during a valid paid Subscription Term. When the subscription expires, the license is disabled, the Order is refunded, or this Agreement is terminated, the Customer must stop using the Software and, on request, uninstall or destroy copies in its control.

Boomers Greens may suspend or terminate access for nonpayment after applicable payment-recovery processes, material breach, license sharing, activation abuse, fraud, security risk, unlawful conduct, or use that threatens the Software or others. Where reasonably practical and lawful, Boomers Greens may allow an opportunity to cure a remediable breach; no cure period is required for fraud, deliberate circumvention, security threats, or unlawful conduct. Termination does not erase accrued payment obligations or provisions intended to survive.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE, DOCUMENTATION, UPDATES, AND SUPPORT ARE PROVIDED "AS IS" AND "AS AVAILABLE." BOOMERS GREENS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Boomers Greens does not warrant that the Software will be uninterrupted, error-free, compatible with every computer, network, display, simulator, or third-party service, or that it will prevent operator error, connectivity loss, event delay, inaccurate input, or data loss. The Customer remains responsible for event supervision, safe operations, equipment, connectivity, backups, and contingency planning. Some jurisdictions do not allow certain disclaimers, so these disclaimers apply only to the extent permitted by law.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOOMERS GREENS AND ITS OWNERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA; EVENT INTERRUPTION; SUBSTITUTE SERVICES; OR LOSS ARISING FROM THIRD-PARTY SYSTEMS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS PAID FOR THE AFFECTED SWINGISTRY GOLF SUBSCRIPTION DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. The exclusions and cap apply across all theories of liability and do not limit liability that cannot lawfully be limited.

Indemnification

To the extent permitted by law, the Customer will defend, indemnify, and hold harmless Boomers Greens and its owners, employees, and contractors from third-party claims, damages, liabilities, costs, and reasonable legal fees arising from Customer Content; the Customer's events, equipment, or business operations; unlawful collection or display of participant information or photos; violation of another person's rights; or material breach of this Agreement. Boomers Greens will provide reasonable notice and cooperation, and the Customer may not settle a claim in a manner that admits fault by or imposes obligations on Boomers Greens without written consent.

Governing Law and Disputes

This Agreement is governed by the laws of the State of Ohio, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Before filing a claim, the parties will make a good-faith effort to resolve it through written notice and reasonable business discussion. Unless applicable law requires otherwise, any court proceeding must be brought in a state or federal court with jurisdiction in the Ohio county where Boomers Greens maintains its principal office, and each party consents to that forum.

General Terms

The Order, this Agreement, the Swingistry Golf Terms of Service, the Subscription, Cancellation & Refund Policy, and the Privacy Policy form the coordinated customer framework. The Order controls plan-specific price, billing period, and activation allowance; this Agreement controls use of the Software; Lemon Squeezy's buyer terms control the payment transaction to the extent applicable. If any provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue. A waiver must be in writing and is not a continuing waiver. The Customer may not assign this Agreement or subscription without Boomers Greens' written consent; Boomers Greens may assign it in connection with a merger, reorganization, financing, or transfer of the Software or business.
